Terms and Conditions

These terms and conditions (hereinafter, the "Terms") govern access to and use of the website orionis.consulting and the engagement of consulting services offered by Orionis SAS (hereinafter, "Orionis"), domiciled in Montevideo, Uruguay.

1. Acceptance of Terms

By accessing our website, using our quote form, or engaging our services, you accept these Terms in their entirety. If you disagree with any provision, please do not use the site or our services.

2. Description of Services

Orionis provides consulting services in process automation and artificial intelligence, including but not limited to: • Strategic AI and automation consulting. • Design and implementation of automation solutions. • Development of conversational agents and AI assistants. • System and platform integration. • Training and knowledge transfer. The specific scope of each project is defined in an individual commercial proposal or contract that supplements these Terms.

3. Quotes and Proposals

Estimates generated through the website's quote form are indicative and do not constitute a binding offer. Final pricing, scope, timelines, and conditions are agreed upon in the formal commercial proposal issued after the validation meeting. Proposals are valid for 21 days from issuance, unless otherwise stated.

4. Engagement and Payment

The contractual relationship is formalized through the client's acceptance of the commercial proposal. Payment terms, currency, frequency, and conditions are detailed in each individual proposal. Orionis reserves the right to suspend service delivery in the event of non-compliance with agreed payment terms, upon prior notification to the client.

5. Client Obligations

The client agrees to: • Provide truthful and up-to-date information when completing the quote form and during project execution. • Provide access to systems, data, and resources necessary for service delivery within agreed timelines. • Designate a decision-making point of contact for validation and follow-up meetings. • Respect the review and approval timelines established in the proposal.

6. Intellectual Property

Deliverables produced within a project are transferred to the client upon full payment, unless otherwise agreed. This includes source code, configurations, documentation, and models developed specifically for the project. Orionis retains intellectual property rights over its tools, methodologies, frameworks, and pre-existing components. The client receives a non-exclusive license to use these elements when they form part of a deliverable. Website content (text, design, brand, logo) is the exclusive property of Orionis and may not be reproduced without prior authorization.

7. Confidentiality

Both parties agree to maintain the confidentiality of information exchanged during the commercial relationship, including business data, technical information, commercial proposals, and any other non-public material. This obligation remains in effect during the contractual relationship and for a period of 2 years following its termination.

8. Limitation of Liability

Cost, timeline, and return-on-investment estimates provided by Orionis are approximations based on information available at the time of evaluation and do not constitute a guarantee of results. Orionis shall not be liable for indirect or consequential damages, lost profits, or data loss arising from the use of services, except in cases of willful misconduct or gross negligence. Orionis's maximum liability in any case shall be limited to the total amount invoiced to the client for the project in question.

9. Cancellation and Termination

Either party may terminate the contractual relationship with 15 days' written notice. In the event of cancellation by the client, work effectively performed up to the termination date will be invoiced. In the event of cancellation by Orionis, a proportional refund of undelivered services will be issued. Confidentiality, intellectual property, and limitation of liability clauses survive contract termination.

10. Website Use

Users agree to use the website lawfully and in accordance with these Terms. The following is prohibited: • Attempting to access restricted areas of the site or its systems. • Using the site to submit false or malicious information. • Engaging in activities that may affect the site's operation. • Using automated tools to extract content in bulk.

11. Site Availability

Orionis strives to keep the website continuously available but does not guarantee uninterrupted availability. The site may be temporarily unavailable due to maintenance, updates, or other technical reasons.

12. Modifications

Orionis reserves the right to modify these Terms at any time. Modifications take effect upon publication on the website. Continued use of the site or services after publication of changes implies acceptance of the new Terms.

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Oriental Republic of Uruguay. For any dispute arising from these Terms or the contractual relationship, the parties submit to the jurisdiction of the competent courts of the city of Montevideo, Uruguay, waiving any other jurisdiction that may apply.
